Can the ATO shut down my business?

Short answer

The ATO cannot close a business by decree, revoke your trade licence or padlock the door. But it can end a business in practice: by winding up a company, bankrupting a sole trader, taking the cash with a garnishee, or cancelling an ABN or GST registration it decides is unused. How a business debt reaches directors personally is on can the ATO take my house.

Two quick answers and we match you with a specialist who works on ATO debt every day.

Free, no obligation, and it takes about 30 seconds.

The ways it actually ends a business

ActionWho it hitsHow it ends things
Winding upCompaniesStatutory demand, 21 days, then a court order. A liquidator takes over and trading stops that day.
BankruptcySole traders, partners, directors with personal liabilityJudgment, bankruptcy notice, creditor's petition. A trustee controls your assets; trading on is possible but hard.
GarnisheeAnyoneBank, merchant facility or customer payments diverted to the ATO. No court needed. Businesses fail from cash, and this is the fastest way to lose it.
Credit reportingBusinesses owing $100,000 or more, 90 days overdueSuppliers, financiers and insurers see the default and tighten terms.
ABN or GST cancellationAnyone the ATO believes has stopped carrying on an enterpriseCustomers cannot deal with you without an ABN. Usually a symptom of non-lodgement rather than a debt tool.
Director penalty noticeDirectorsDoes not close the company but makes its PAYG, GST and super debt yours after 21 days.

What the ATO cannot do

It cannot cancel a builder's, electrician's or liquor licence; those belong to state regulators. It cannot deregister your company directly; only ASIC does that, on a liquidator's report or for non-payment of ASIC fees. It cannot disqualify you as a director; ASIC can, after multiple failed companies. It cannot tell your customers to stop dealing with you, though a garnishee on a major customer tells them plenty. And it cannot take a business it has no interest in running: the ATO wants the tax, not the shop.

Losing an ABN over a debt is a common fear. In practice cancellation follows a pattern of no lodgements and no activity, and it can be reinstated; see can the ATO cancel my ABN.

The real question: is the business viable without the old debt?

The ATO's firmer action is aimed at businesses that keep running up new tax while never paying the old, especially GST, PAYG withholding and employee super. A business that lodges on time, pays its current obligations and has a plan for the arrears is in a different queue. So the honest test is whether the business can pay this quarter's BAS and still make a living. If yes, a payment plan or, for companies under $1 million in liabilities, small business restructuring can deal with the backlog while you trade. If no, a controlled exit is usually better for you than one imposed by a court. The full menu is on rescue options.

STARTING A NEW ENTITY IS NOT A FIX

Moving the business to a new company to leave the debt behind is illegal phoenix activity. It is one of the few things that turns a tax debt into personal liability and possible prosecution.

What to do next

  1. Write down what the business owes the ATO, what it owes everyone else, and whether it can pay this quarter's BAS from current trading.
  2. Check whether any statutory demand, court claim, garnishee or notice of intent to disclose has already been issued, because that sets the clock.
  3. Talk to a specialist about which of a payment plan, restructuring or a controlled exit fits, before the ATO chooses for you.

Related questions

Can the ATO take my business licence?

No. Trade, professional and liquor licences are issued by state and industry regulators, not the ATO. A tax debt does not cancel them, although some regulators ask about insolvency and a bankruptcy or liquidation may have to be disclosed.

Can I keep trading while I owe the ATO?

Yes, as long as the business is not insolvent and you are engaging with the debt. A payment plan, restructuring or negotiated arrangement all allow trading to continue. The risk is trading a company that cannot pay its debts as they fall due, which exposes directors to insolvent trading claims.
